Companies declared as Nidhis under previous company law to file Form NDH-4 with fees and that no fees shall be charged under this rule for filing Form NDH-4, in case it is filed within nine months of the commencement of Nidhi (Amendment) Rules, 2019. If a company does not comply with the requirements of this rule, it shall not be allowed to file Form No. SH-7 and Form PAS-3. 2) Every company referred in clause (a) of rule 2 shall file Form NDH-4 along with fees as per the Companies (Registration Offices and Fees) Rules, 2014 for updating its status: 3) Provided that no fees shall be charged under this rule for filing Form NDH-4, in case it is filed within nine months of the commencement of Nidhi (Amendment) Rules, 2019: 4) Further that, in case a company does not comply with the requirements of this rule, it shall not be allowed to file Form No. SH-7 (Notice to Registrar of any alteration of share capital) and Form PAS-3 (Return of Allotment) 5) Attachments that has to be enclosed in Form NDH-4 are: a. Copy of resolution of the board of directors in support of the proposal of the company b. Certificate signed by two directors regarding the number of members as on date of application (membership should not be less than 200) c. Certificate from the auditors of the company to the effect that the company has complied with the Nidhi Rules, 2014. d. Copy of notification through which company was declared Nidhi under the Companies Act, 1956 or previous company law (where applicable) e. Optional Attachments, if any
